Terms of Service

Effective date: April 28, 2026. MemberDex is operated as a sole proprietorship by David Tatzel in the Commonwealth of Massachusetts, United States. These terms apply to your use of the MemberDex platform, the MemberDex iOS app, and the MemberDex admin dashboard. Plain language; reach out if anything is unclear.

1. Who can use MemberDex

You must be at least 18 years old to register a community on MemberDex and authorized to act on behalf of your organization. Members invited by a community admin can use the iOS app at any age subject to App Store policies, and community admins must obtain verifiable parental or guardian consent before inviting anyone under 13. See the Privacy Policy for our COPPA commitments.

2. Your account

You're responsible for keeping your login credentials confidential and for any activity under your account. Tell us promptly if you suspect unauthorized access. Sharing admin credentials between people is discouraged — give each admin their own account so the audit log is meaningful. Enabling TOTP multi-factor authentication on each admin account is strongly recommended.

3. Acceptable use

Don't use MemberDex to: send spam, harvest contacts for unrelated solicitation, host illegal content, infringe intellectual property, attempt to circumvent platform security, run brute-force attacks against authentication, scrape data beyond what your role permits, or intentionally degrade service for other communities. We may suspend accounts that do, with notice except where the conduct is urgent or harmful.

4. Your data and our role

You own your community's data. For directory data inside a community workspace, the community organization is the data controller and MemberDex is the data processor under our Privacy Policy and our optional Data Processing Agreement (see Section 6 below). You can export member data at any time and download a community backup zip at any time. We do not sell, share, rent, or repurpose your data for advertising.

5. Privacy

How we handle data is described in our Privacy Policy and the list of third-party processors is in our Subprocessors page. By using MemberDex you consent to those documents.

6. Data Processing Agreement

For business customers in jurisdictions that require one (EU, UK, California, etc.), MemberDex offers a Data Processing Agreement that incorporates the Standard Contractual Clauses where applicable. Email support@memberdex.app with the subject line DPA request and we'll send a copy for countersignature.

7. Billing

Pricing is described on the pricing page. There is no setup fee. Optional white-glove onboarding, if elected, is billed as a one-time charge and is non-refundable once delivered. Subscription payments are billed through Stripe and renew automatically until canceled. Cancellation stops future renewals; data remains exportable through the end of the paid period and is then archived for 30 days before permanent deletion.

If you cancel within 30 days of subscription activation and tell us why, we will refund the most recent subscription payment. Refund requests beyond 30 days are reviewed case-by-case; we generally do not refund mid-period.

The Enterprise plan is governed by a separate written order form / master service agreement that supersedes the conflicting commercial terms in this document while incorporating its other terms (acceptable use, privacy, liability, etc.).

8. Plan limits

Each plan has a hard member limit. Operations that would exceed the limit are blocked with a clear error. Existing members are unaffected. Upgrade or downgrade between plans at any time.

9. Service availability

We aim for high availability but do not promise zero downtime. Maintenance windows are announced in advance when possible. Scheduled maintenance and force-majeure outages are not grounds for refund. We are not liable for damages caused by your community's failure to retain its own off-site backup of exported data.

10. Changes to the service

We may add, change, or remove features. Material removals or breaking changes will be announced in advance. Pricing changes apply only to new billing periods following 30 days' notice; in-flight billing periods are unaffected.

11. Termination

You can cancel anytime from the customer portal. We can terminate accounts for violation of these terms with reasonable notice except in cases of urgent risk (security incident, abuse, illegal content). On termination, you have 30 days to export your data; after that, we delete it.

12. Intellectual property and DMCA

You retain all rights to content you upload (member profiles, photos, custom-field values, branding). MemberDex retains all rights to the platform itself (software, design, marketing copy). If you believe content hosted on MemberDex infringes your copyright, send a written notice to support@memberdex.app with the subject DMCA notice. The notice must include: identification of the copyrighted work, the URL or location of the allegedly infringing material, your contact info, a good-faith statement that the use is not authorized, a statement under penalty of perjury that the information is accurate and you are authorized to act, and your physical or electronic signature. We process valid notices promptly and will pass counter-notices to the original notifier.

13. Warranty disclaimer

MemberDex is provided "as is" and "as available." To the extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service is uninterrupted, error-free, or completely secure.

14. Limitation of liability

To the extent permitted by law, our aggregate liability arising out of or related to these terms or the service is capped at the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) one hundred US dollars ($100). In no event are we liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, or loss of goodwill, even if advised of the possibility.

15. Indemnity

You agree to defend, indemnify, and hold harmless Tatzel Labs LLC from any third-party claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from your community's content, your members' use of the service, your breach of these terms, or your violation of any applicable law.

16. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Massachusetts, and you and we consent to personal jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply.

17. Force majeure

Neither party is liable for failure to perform due to causes beyond its reasonable control, including natural disasters, acts of war, civil unrest, labor disputes, infrastructure or third-party-provider outages, malicious attacks, or government action.

18. Assignment

You may not assign these terms without our written consent. We may assign these terms to a successor in interest in the event of a merger, acquisition, or sale of substantially all assets, with notice to you.

19. Severability and waiver

If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of the right to enforce it later.

20. Entire agreement

These terms, the Privacy Policy, the Subprocessors page, and (where applicable) the Data Processing Agreement constitute the entire agreement between you and MemberDex regarding the service.

21. Changes to these terms

We may update these terms periodically. Material changes will be communicated by email to your billing contact and reflected by an updated effective date at the top of this page. Continued use after notice indicates acceptance.
